This Terms of Use ("Agreement") governs the candidate (Candidate) or any customer client's (Customer) access to and use of the WelHire platform, owned and operated by Welspun Transformation Services Limited, a company incorporated under the Companies Act, 2013, having its registered office at 38/10/B, CH 6 Inspire Business Park Village-Khoraj, Gandhinagar Gujarat – 382421, hereinafter referred to as "Welspun", "Company", or "We" (which expression shall include its affiliates, successors, and permitted assigns). The Candidate and Customer are hereinafter referred to as "You".
By accessing, using, or subscribing to the WelHire platform ("Platform" or "Service"), You acknowledge that You have read, understood, and agree to be bound by this Agreement, including any policies or documents referenced herein such as the Privacy Policy. If You do not agree, You must not use or access the Platform.
By clicking "I Agree" or by using the Service, You signify Your consent to be bound by this Agreement. If You are entering into this Agreement on behalf of a company or other legal entity, You represent that You have the authority to bind such entity to these Terms of Use. These Terms constitute a legally binding agreement between You and Welspun.
Welspun may update or modify these Terms from time to time without prior notice. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Service constitutes acceptance of such changes.
Subject to Your compliance with this Agreement and timely payment of all applicable fees, Welspun grants You a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the WelHire Platform solely for internal business purposes during the active subscription term.
The Platform and its contents, including software, algorithms, templates, AI models, designs, and user interfaces, remain the exclusive property of Welspun and its licensors. This Agreement does not convey any ownership rights, but only a right of limited access and use.
You shall not: (a) copy, modify, decompile, disassemble, reverse engineer, or create derivative works of the Platform; (b) use the Platform to build a competitive product; (c) attempt to gain unauthorized access to Welspun's systems or networks; or (d) use the Platform in violation of any applicable law.
To access the Service, You must establish a customer account through WelHire. You are responsible for maintaining the confidentiality of login credentials, and any actions performed under Your account shall be deemed to have been performed by You. Welspun shall not be liable for any unauthorized access arising due to Your failure to safeguard account information.
You shall promptly notify Welspun in writing of any unauthorized use or breach of account security. Welspun reserves the right to suspend or disable access to accounts that are suspected of unauthorized activity or security risks.
The WelHire Service is provided on a subscription basis (annual or monthly), in accordance with the subscription plan chose by the Customer. Subscription fees shall be payable in advance at the time of registration or subscription to the WelHire Service. In the event of any cancellation by the Customer, the subscription fees shall not be refundable or subject to adjustment against any future subscription.
The subscription fees are exclusive of applicable taxes, duties, or levies. No refunds are permitted once the subscription term has commenced.
Subscriptions shall automatically renew for successive terms unless the Customer cancels such subscription or fails to make payment of the subscription fee upon expiry of the previous subscription term. The data in Customer's account shall be stored for a period of thirty (30) days if the subscription fees for the renewed term remain unpaid. Upon continued non-payment after thirty (30) days, the subscription shall be deemed to be cancelled and all the data of the Customer shall be deleted and destroyed unless otherwise required under law.
Welspun shall use commercially reasonable efforts to make the Service available to the Customer with a 99.97% uptime, excluding scheduled maintenance, emergency maintenance, or downtime due to circumstances beyond Welspun's control, including acts of God, network failures, or force majeure events.
Welspun may update, modify, or improve the Platform from time to time to enhance functionality, performance, or security. Such updates may cause temporary unavailability, for which no liability shall attach to Welspun.
Support services, if included, shall be provided in accordance with Welspun's Support Policy as published or agreed in writing with the Customer.
Welspun recognizes that all data, content, and information of the Customer as well as the Candidate ("Digital Data") uploaded, generated, or processed through the Platform remains the exclusive property of the Customer or the Candidate, as the case may be. Welspun shall act as a Data Processor, processing Digital Data only as required to provide the Service and in accordance with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, the General Data Protection Regulation and the Privacy Policy.
Welspun may collect limited operational and technical data to monitor performance, security, and usage analytics, but such data will not include personally identifiable information unless required for the Service's functionality.
Welspun implements appropriate technical and organizational safeguards, including encryption, access control, and periodic audits, to protect Digital Data against unauthorized access, alteration, or destruction.
Both Parties agree to maintain the confidentiality of all non-public information disclosed in connection with this Agreement, including business, technical, financial, or operational data ("Confidential Information"). Each Party shall use the other's Confidential Information solely for the purposes of performing this Agreement and shall not disclose it to any third party except to employees, affiliates, or contractors bound by equivalent confidentiality obligations.
Confidentiality obligations shall survive termination of this Agreement. This clause shall not apply to information that is (a) already known to the recipient; (b) publicly available; (c) independently developed; or (d) required to be disclosed under law or court order.

Welspun reserves the right to suspend or terminate access for violations of this clause without prior notice.
All rights, title, and interest in and to the WelHire Platform, including but not limited to its software, source code, object code, algorithms (including AI models and training data), user interface design, architecture, features, functionalities, workflows, templates, documentation, text, graphics, logos, icons, images, and all related know-how, inventions, enhancements, updates, derivatives, and modifications thereof (collectively, "WelHire Intellectual Property"), are and shall remain the sole and exclusive property of Welspun Transformation Services Limited or its licensors.
Except for the limited, non-exclusive, non-transferable, and revocable right to access and use the Platform in accordance with these Terms, no ownership, right, title, or interest of any kind in the WelHire Intellectual Property or any derivative work thereof is granted, assigned, or transferred to the Customer or any third party, whether by implication, estoppel, or otherwise.
All content and materials made available on or through the Platform are the copyrighted works of Welspun, and are protected under applicable intellectual property, copyright, and trade secret laws of India and other jurisdictions. Any unauthorized access, reproduction, modification, adaptation, distribution, reverse engineering, decompilation, or creation of derivative works of any part of the Platform or Welspun's materials is strictly prohibited and shall constitute a material breach of these Terms and a violation of applicable law.
You shall not remove, obscure, or alter any proprietary notices or legends contained in or affixed to the Platform, documentation, or any related materials.
All trademarks, service marks, trade names, and logos displayed on the Platform are the property of Welspun or its licensors. You are not granted any right or license to use any such marks without Welspun's prior written consent. Any unauthorized use shall constitute infringement and may result in immediate termination of access, injunctive relief, and other remedies available under law.
Any feedback, ideas, enhancements, suggestions, or improvements ("Feedback") provided by You relating to the Platform shall be deemed to be non-confidential and the sole property of Welspun. By submitting Feedback, You irrevocably assign to Welspun all rights, title, and interest therein, including all intellectual property rights, and waive any moral or proprietary claims thereto. Welspun shall have an unrestricted, perpetual, and royalty-free right to use, reproduce, modify, and commercialize such Feedback without any obligation or compensation to You.
You acknowledge that any breach of this Clause may cause irreparable harm to Welspun for which monetary damages may be inadequate, and therefore, Welspun shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available under law or contract.
You agree to indemnify, defend, and hold harmless Welspun, its affiliates, officers, employees, and contractors from and against all losses, damages, liabilities, costs, and expenses arising from (a) Your use of the Platform in violation of these Terms, (b) breach of law, or (c) misuse or unauthorized disclosure of Digital Data.
Welspun shall indemnify the Customer against any third-party claim alleging that the Platform infringes a valid intellectual property right, provided that the Customer promptly notifies Welspun and allows it to control the defense.
To the maximum extent permitted by law, Welspun's total liability, whether in contract, tort, or otherwise, shall not exceed the total subscription fees paid by the Customer during the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall Welspun be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to this Agreement or the use of the Platform.
Welspun may suspend or terminate access to the Platform with immediate effect if (a) You breach these Terms; (b) fail to pay subscription fees; (c) engage in unlawful activity; or (d) for security or maintenance reasons.
Upon termination, Your right to use the Platform ceases immediately. Welspun will retain Digital Data for up to sixty (60) days after termination to enable data retrieval, after which it will be securely deleted, unless retention is required by law.
Provisions relating to confidentiality, intellectual property, limitation of liability, indemnification, disclaimer of warranties, and governing law and jurisdiction shall survive termination.
The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. Welspun disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, and accuracy of results.
Welspun does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses, or that data will not be lost or corrupted. The Customer assumes all responsibility for the selection, use, and results obtained from the Platform.
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. You agree that the courts at Mumbai, Maharashtra, shall have exclusive jurisdiction over any dispute arising from or relating to this Agreement.
Welspun reserves the right to modify or amend this Agreement or the Privacy Policy at any time. Any changes will become effective upon posting on the Platform. You are encouraged to periodically review these Terms to stay informed.
